This agreement is the details the complete terms
and conditions for the participation in the JungleWalk.com
partner program. Hereafter, "we" refers to the site
JungleWalk.com and its owners Netrikon Designs, Inc. and "you"
refers to the applicant.
1. Enrollment
You can join JungleWalk.com partner program by submitting
the online application form on our site. We reserve the right
to cancel your membership at any time if at our discretion if
we find that you are unsuitable for the program.
You must be 18 years of age to sign up for our partner program.
You would be considered unsuitable if you publish either
through a website or other media material that:
o Promote violence or sexually explicit materials
o Promote discrimination based on race, sex, religion, ethnicity, or age
o Promote illegal activities
Other reasons for terminating your memebership would include
violation of intellectual property laws
o Usage of fraudulent or unethical methods for gaining partner commission
o Having a site that consists only of advertisements and partner links and no other content
o Creating a web site which uses large number of images from site
o Participate in sending out bulk unsolicited e-mail (SPAM)
We reserve the right to terminate any partner's contract for any reason
whatsoever. Termination notice will be provided via e-mail and will be
effective immediately. All legitimate moneys due to partner will be
paid during the next billing cycle. If partner defrauds the system,
then payment is revoked as determined solely by us.
2. Participation in the program
You participate in the program by directing potential
customers to our site, either by using welcome page provided for
you or by using any of the linking methods.
When a web site visitor comes to our site through any of the linking methods
specified in our 'linking' section, we store a 'cookie' indentifying the vistior as
visitor from you. The cookie will be present in the user's computer
for 10 days, unless the user of the computer intentionally or otherwise
deletes the cookie. A visit through another partner's site while your
cookie is active will inactivate yours as the other partner's cookie will
overwrite yours.
Any order made while your cookie is active will be assigned
to you. When the order is shipped and the 30-day return period
has expired for the order, you will get 20% commission on the
product price total of the order (i.e., the basis amount for
your commission will exclude shipping charges, taxes, and
account for coupons and other discounts)
3. Fee payment and schedule
We will pay you at the first day of every month for all the orders shipped
in the month before the previous, e.g., the commission for all orders
shipped in March will be paid on May of the same year. However, we will
withhold all payments less than US $25 and carry it over to the next month.
Payments will be made in US $ only.
If you have chosen PayPal as your payment method, we will account the
commission directly to your PayPal account; otherwise we will send you
a check. If you choose the PayPal method of payment, you will be responsible
for the commission charged by PayPal for the transaction; we will not cover
that amount.
4. Other terms
You are given a limited licensce to display images from
our website as long as you only use the methods described in
the linking section. Any other usage of images or material
from site will be in violation of this contract.
You are solely for responsible for ensuring that your
links are correctly set since incorrect links may lead to non
crediting of the orders to your account.
You are solely responsible for making sure that your site
conforms to the terms of enrollment as specified in section 1.
Each party can terminate the agreement at any time for any
reason.
We may modify the terms of agreement at any time and we will
inform you (via e-mail) of the changes when that happens. If the
new agreemnt is unacceptable to you, your only recourse is to
terminate the agreemnt.
Nothing in this agreement will create any partnership, joint
venture, agency, franchise, sales representative, or
employment relationship between the parties.
We are not liable for any financial or other damages whatsover
that may occur to you due to your participation in this program.
We make no guarantess that our site will be fully functional
at all times and we are not responsible for any loss of commission
potential due to problems in our site.
5.Independent Investigation
YOU ACKNOWLEDGE THAT YOU HAVE READ
THIS AGREEMENT AND AGREE TO ALL ITS
TERMS AND CONDITIONS. YOU UNDERSTAND
THAT WE MAY AT ANY TIME (DIRECTLY OR
INDIRECTLY) SOLICIT CUSTOMER REFERRALS ON
TERMS THAT MAY DIFFER FROM THOSE
CONTAINED IN THIS AGREEMENT OR OPERATE
WEB SITES THAT ARE SIMILAR TO OR COMPETE
WITH YOUR WEB SITE. YOU HAVE INDEPENDENTLY
EVALUATED THE DESIRABILITY OF PARTICIPATING
IN THE PROGRAM AND ARE NOT RELYING ON ANY
REPRESENTATION, GUARANTEE, OR STATEMENT
OTHER THAN AS SET FORTH IN THIS AGREEMENT.
6. Miscellaneous
This Agreement will be governed by the laws of the United States
and the state of California, without reference to rules governing
choice of laws. Any action relating to this Agreement must be brought
in the federal or state courts located in San Francisco, California,
and you irrevocably consent to the jurisdiction of such courts. You
may not assign this Agreement, by operation of law or otherwise,
without our prior written consent. Subject to that restriction,
this Agreement will be binding on, inure to the benefit of, and
enforceable against the parties and their respective successors
and assigns.
